Terms of service

Last updated 14 October 2026

Draft: this document is under legal review and is not yet in force. Parts marked [to confirm] are waiting for details.

These terms are an agreement between Jacada Technologies Limited, a company registered in Kenya ([to confirm: registration number and registered office]) (“we”, “us”), and the organisation that opens a CloudVPN account (“you”). By creating an account or using CloudVPN, you accept them on behalf of your organisation, and you confirm you may do so.

1. The service

CloudVPN lets you connect your organisation’s devices on private networks over the internet, and manage them in a web dashboard. It includes the dashboard, the apps and agents you install on your devices, and the hub and relay servers we run.

We may improve and change the service. We will not remove a feature you pay for during a billing period without telling you first.

2. Your account

  • You must give accurate details when you sign up, and keep them up to date.
  • You are responsible for your users and devices, for keeping passwords and setup keys safe, and for everything done through your account. Tell us at once at support@cloudvpn.co.ke if you think your account has been misused.
  • We recommend that every user turns on sign-in codes from an authenticator app.

3. Acceptable use

You must not use CloudVPN to:

  • break any law of Kenya or of the country where you or your devices are, including laws on computer misuse and cybercrime;
  • send spam, attack, scan or break into other people’s systems, or spread malware;
  • infringe anyone’s intellectual property or privacy;
  • resell the service, or overload, probe or try to get around its limits and security, except with our written permission.

We may suspend a device, a network or an account that breaks these rules, telling you why unless the law or an investigation prevents it.

4. Plans, invoices and payment

  • Your plan sets your monthly price, the devices and hub traffic included, and the rates for extra devices and traffic. Prices are shown in the dashboard and on our website, in Kenya shillings or US dollars; your organisation is billed in one currency, chosen at signup.
  • We invoice on the first day of each month: the plan price for the coming month, and any extra devices and traffic for the past month. Your first invoice covers the rest of the month you sign up in.
  • VAT and other taxes are added where the law requires.
  • You can pay KES invoices with M-Pesa, and any invoice by bank transfer, cash or cheque. A payment counts when it reaches us; cheques count when they clear.
  • If an invoice is unpaid on its due date, we send reminders. If it is still unpaid at the end of the grace period shown on the invoice, your networks are suspended until it is paid. Your settings and devices are kept, and the service resumes when the payment is confirmed.
  • Fees are not refundable, except where these terms or the law say otherwise. [to confirm: refund policy, for example for the unused part of a month on closing.]

5. Changes to prices and plans

We may introduce new plans and prices. Your organisation stays on the plan version it has until we move it, and we will tell you at least 30 days before a price increase applies to you. [to confirm: notice period.]

6. Your data

You own the data you put into CloudVPN. You let us use it only to run, secure, support and bill for the service. Questions about how we handle personal data go to privacy@cloudvpn.co.ke. [to confirm: link the privacy policy when it is published] Traffic between your devices is not stored.

7. Availability and support

We aim to keep CloudVPN available all the time, but we do not promise it will be uninterrupted or free of errors, unless we agree a service level with you in writing. We will tell you in advance about planned maintenance that may interrupt the service. Support is by email at support@cloudvpn.co.ke.

8. Servers you run yourself

If you run a hub on your own server, you are responsible for that server, its security and its internet connection.

9. Ending the agreement

  • You can close your account at any time by asking us. Fees already invoiced remain due.
  • We may close your account with 30 days’ notice, or at once if you seriously or repeatedly break these terms or do not pay after suspension. [to confirm: period after suspension.]
  • After closing, we delete your organisation’s data within 30 days, except what the law requires us to keep, such as invoices and payment records. [to confirm: retention periods.]

10. Liability

  • Nothing in these terms limits liability that cannot be limited under Kenyan law.
  • We are not liable for indirect or consequential loss, such as lost profits, revenue or data.
  • Our total liability to you in any 12 months is limited to the fees you paid us in those 12 months.

[to confirm: liability cap with legal advice.]

11. Changes to these terms

We may update these terms. We will tell you by email or in the dashboard at least 30 days before a change that reduces your rights takes effect. If you do not agree, you may close your account before then.

12. Law and disputes

These terms are governed by the laws of Kenya. We will first try to settle any dispute by talking to you. If that fails, the courts of Kenya decide it. [to confirm: arbitration instead of courts, and the seat.]
